By accessing or using the Geml platform ("Service"), you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Service.

These Terms constitute a legally binding agreement between you and Geml, Inc. ("Geml," "we," "us," or "our"). If you are using Geml on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Agreement to Terms: Your use of Geml constitutes your agreement to these Terms. If you do not agree, you must not access or use the Service.

2. Eligibility

To use Geml, you must meet the following requirements:

2.1 Age Requirement

• You must be at least 18 years old
• You represent and warrant that you meet this age requirement
• We reserve the right to verify your age through video verification or other means
• Accounts created by individuals under 18 will be immediately terminated

2.2 Legal Capacity

• You must have the legal capacity to enter into a binding contract
• You are not prohibited from using the Service under any applicable laws
• You have not been previously banned or suspended from Geml

2.3 Geographic Availability

Geml is currently available only in select geographic regions. We may expand or restrict availability at our discretion. You must be located in a supported region to use the Service.

2.4 Relationship Status

Geml is designed for single individuals seeking romantic relationships. By using the Service, you represent that:

• You are not currently married or in a committed relationship (unless ethically non-monogamous and disclosed)
• You are genuinely seeking meaningful connections
• You are not using the Service for research, competitive analysis, or other non-dating purposes without our prior written consent

3. Account Creation and Security

3.1 Account Registration

To use Geml, you must create an account by providing:

• Valid email address
• Accurate personal information (name, age, gender, location)
• Profile content (photos, audio recording)

3.2 One Account Per Person

You may create only one account. Creating multiple accounts is prohibited and may result in termination of all your accounts. Exceptions may be granted only with our prior written permission.

3.3 Account Security

You are responsible for maintaining the security of your account:

• Password security: Choose a strong, unique password
• Confidentiality: Never share your login credentials
• Unauthorized access: Notify us immediately if you suspect unauthorized access
• Account activity: You are responsible for all activity on your account

3.4 Accurate Information

You agree to provide accurate, current, and complete information when creating and maintaining your account. You must:

• Use your real name and accurate age
• Upload genuine photos of yourself (no photos of celebrities, AI-generated images, or other people)
• Provide truthful information in your profile
• Update your information if it changes

Providing false information may result in account suspension or termination.

4. Service Description

Geml provides a unique dating platform with the following features:

4.1 One Match at a Time

Unlike traditional dating apps, Geml provides one carefully selected match at a time based on mutual compatibility. This approach:

• Reduces decision fatigue and overwhelm
• Encourages focused, meaningful connections
• Eliminates endless swiping

You can skip a match, but cooldown periods apply based on your subscription tier.

4.2 Video Chat First Approach

Geml prioritizes video chat conversations before text messaging. When matched:

• You schedule a 20-minute video chat at a mutually convenient time
• Video chats occur within the Geml app
• Contact information is exchanged only after mutual interest is confirmed post-chat

4.3 Post-Date Analytics and Feedback

After each video chat, you receive personalized feedback and analytics:

• Conversation balance (speaking vs. listening time)
• Engagement indicators and question quality
• Suggestions for improvement
• Trends across multiple dates

This feedback is algorithmic and designed to help you improve your dating success over time.

4.4 Stable Matching Algorithm

Geml uses the Gale-Shapley stable matching algorithm. Its application to real-world scenarios like the National Resident Matching Program led to the 2012 Nobel Prize in Economics. This algorithm:

• Creates stable, mutually beneficial matches
• Considers preferences from both parties
• Optimizes for long-term compatibility, not just initial attraction

While our algorithm is research-backed, we cannot guarantee specific outcomes or that you will find a romantic partner (see Section 8).

4.5 Service Modifications

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

5. User Conduct and Prohibited Activities

Geml is built on trust, respect, and safety. You agree to use the Service responsibly and not engage in prohibited activities.

5.1 Respectful Behavior

You agree to:

• Treat other users with respect and courtesy
• Communicate honestly and authentically
• Respond to matches in a timely manner
• Provide constructive, respectful feedback

5.2 Prohibited Conduct

The following behaviors are strictly prohibited and may result in immediate account termination:

Harassment and Abuse

• Harassing, threatening, stalking, or intimidating other users
• Sending unwanted sexual content or making unwanted sexual advances
• Engaging in hate speech, discrimination, or bigotry based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Bullying, insults, or abusive language

Fraud and Deception

• Creating fake profiles or impersonating others
• Using photos that are not of yourself or are heavily misleading
• Lying about your age, relationship status, or identity
• Catfishing or using AI-generated images

Illegal Activity

• Soliciting or engaging in prostitution or escort services
• Promoting or facilitating illegal drugs or activities
• Scamming, phishing, or defrauding other users
• Any activity that violates local, state, federal, or international law

Commercial Use

• Using Geml for commercial purposes (advertising, selling products, promoting businesses) without written consent
• Soliciting users for business opportunities or multi-level marketing
• Promoting other dating platforms or apps

Platform Abuse

• Spamming, sending bulk messages, or using bots
• Scraping, harvesting, or collecting user data
• Reverse engineering, decompiling, or attempting to extract source code
• Circumventing security measures or exploiting vulnerabilities
• Creating multiple accounts or circumventing bans

5.3 Video Chat Guidelines

During video chats, you must:

• Be present and engaged (no multitasking or distractions)
• Dress appropriately (no nudity or sexual content)
• Choose an appropriate background
• Not record the conversation without explicit consent from the other party
• End the chat politely if you're not interested

5.4 Reporting and Enforcement

If you encounter prohibited conduct:

• Use the in-app reporting feature to flag the behavior
• Block the user if needed
• Contact hello@geml.co for serious violations

We investigate all reports and may take actions including warnings, suspensions, or permanent bans. We may also report illegal activity to law enforcement.

6. Subscription and Billing

Geml offers multiple subscription tiers with different features and pricing.

6.1 Payment and Billing

Subscriptions are billed monthly on a recurring basis:

• Payment processor: We use Stripe for secure payment processing
• Billing cycle: Charged on the same day each month (e.g., if you subscribe on the 15th, you'll be billed on the 15th of each subsequent month)
• Payment methods: Credit card, debit card, or other methods supported by Stripe
• Currency: All prices are in US Dollars (USD) unless otherwise specified

6.2 Free Trial Terms

New Geml users can try Geml's Growth tier without a paid subscription. There is no credit card required to try the service. Users can continue to try Geml without providing a credit card until the first positive match experience where the user is open to seeing their match again.

6.3 Automatic Renewal

Subscriptions automatically renew each month unless you cancel:

• You'll be charged on your billing date each month
• We'll send a reminder email before each charge
• Renewal continues until you cancel
• You can cancel anytime from your account settings

6.4 Cancellation Policy

You can cancel your subscription at any time:

• Cancel anytime: No cancellation fees or penalties
• Access until end of period: If you cancel, you retain access until the end of your current billing period
• No partial refunds: Cancellations do not entitle you to a refund for the current billing period

6.5 Refund Policy

Beyond the free trial terms, refunds are issued at our discretion on a case-by-case basis.

6.6 Price Changes

We may change subscription prices at any time:

• Price changes apply only to future billing periods
• We'll notify you at least 30 days before a price increase
• Your current billing period will not be affected
• If you don't agree to a price increase, you can cancel before it takes effect

6.7 Failed Payments

If a payment fails:

• We'll attempt to charge your payment method multiple times
• You'll receive email notifications about failed payments
• Your account will be downgraded to the free Explorer tier if payment is not resolved
• Update your payment method in Account Settings to restore access

7. Intellectual Property

7.1 User Content

You retain ownership of content you create and upload to Geml ("User Content"), including:

• Profile photos and audio recordings
• Written profile text and preferences
• Messages sent to matched users

License to Geml

By uploading User Content, you grant Geml a non-exclusive, worldwide, royalty-free license to:

• Display your content to other users for matching purposes
• Store and process your content to provide the Service
• Create derivative works (e.g., video profiles from your photos and audio)
• Use aggregated, anonymized data for improving the Service

This license ends when you delete your content or account, except for content shared with other users (which may be retained as necessary to provide the Service to them).

User Content Responsibilities

You represent and warrant that:

• You own or have the right to use all User Content you upload
• Your User Content does not violate any third-party rights (copyright, trademark, privacy, publicity)
• Your User Content complies with these Terms and applicable laws

7.2 Platform Rights

Geml owns all rights to the platform, including:

• The Geml name, logo, and trademarks
• The website, app, and user interface design
• The matching algorithm and analytics systems
• All software, code, and technology
• Documentation, guides, and support materials

You may not copy, modify, distribute, sell, or create derivative works based on the Geml platform without our written permission.

7.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas to Geml:

• We can use them without any obligation to you
• No compensation is owed for feedback
• You waive any intellectual property rights to the feedback

7.4 Copyright Infringement

We respect intellectual property rights. If you believe content on Geml infringes your copyright, email hello@geml.co with:

• Description of the copyrighted work
• Location of the infringing content on Geml
• Your contact information
• Statement of good faith belief that use is not authorized
• Statement that information is accurate and you're authorized to act

8. Matching Algorithm and No Guarantee of Results

8.1 How Our Algorithm Works

Geml uses the Gale-Shapley stable matching algorithm, combined with machine learning, to create compatible matches based on:

• Your stated preferences (e.g, age, location, etc.)
• Your profile content and engagement patterns
• Mutual compatibility indicators
• Feedback from previous interactions

8.2 Educational Purpose

While our algorithm is based on Nobel Prize-winning research, dating outcomes depend on many factors beyond our control. The feedback and analytics we provide are for educational and informational purposes only.

8.3 No Guarantee of Results

8.4 Algorithmic Decisions

Our algorithm makes automated decisions about matching. While we strive for accuracy and fairness:

• Matches are suggestions for experience, not guarantees of compatibility
• You have the right to skip matches and provide feedback
• We continuously improve the algorithm based on outcomes

9. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• No data selling: We never sell your personal information
• Privacy-first design: Users do not need to share any contact information in order to conduct video chats. Video chats are not stored or processed beyond the insights shared with users
• Your control: You can access, export, or delete your data anytime
• GDPR & CCPA compliant: We respect your data rights under applicable privacy laws

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

Geml is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• That the Service will be uninterrupted, secure, or error-free
• That results or matches will meet your expectations
• That defects will be corrected

10.2 User Interactions

You are solely responsible for your interactions with other users.Geml does not conduct background checks or screen users beyond identity verification.

• We do not guarantee the accuracy of user-provided information
• We are not responsible for user conduct on or off the platform
• You should exercise caution and common sense when interacting with others
• Always meet in public places if you decide to meet in person

10.3 Limitation of Liability

To the maximum extent permitted by law, Geml, Inc. and its officers, directors, employees, and agents shall not be liable for:

• Indirect damages: Including loss of profits, data, goodwill, or other intangible losses
• User conduct: Actions or omissions of other users, whether on or off the platform
• Third parties: Any third-party content, services, or conduct
• Service issues: Interruptions, errors, delays, or data loss
• Security breaches: Unauthorized access to your account (unless due to our gross negligence)

10.4 Maximum Liability

In no event shall Geml's total liability to you for all claims exceed the greater of:

• The amount you paid to Geml in the 12 months before the claim arose, or
• $100 USD

10.5 Jurisdictions Not Allowing Limitations

Some jurisdictions do not allow exclusions or limitations of liability. In such jurisdictions, the above limitations apply only to the extent permitted by law.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a legal claim, you agree to try to resolve disputes informally:

• We'll work in good faith to resolve the dispute within 30 days
• Most disputes can be resolved quickly through communication

11.2 Binding Arbitration

If informal resolution fails, you agree that disputes will be resolved by binding arbitration rather than in court, except:

• Small claims court actions (if they qualify)
• Intellectual property disputes
• Requests for injunctive relief

Arbitration Rules

• Forum: American Arbitration Association (AAA) under its Consumer Arbitration Rules
• Location: Arbitration will be conducted in your home county or via video conference
• Costs: We'll pay arbitration fees for claims under $10,000; you pay AAA's initial filing fee
• Individual basis: No class actions or consolidated arbitrations (see below)
• Award: The arbitrator's decision is binding and enforceable in court

11.3 Class Action Waiver

11.4 Opt-Out

You can opt out of arbitration within 30 days of creating your account by emailing hello@geml.co with "Arbitration Opt-Out" in the subject line. Include your name, email, and a statement that you're opting out. If you opt out, disputes will be resolved in court.

11.5 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. If arbitration does not apply, disputes will be resolved in state or federal courts in Delaware, and you consent to jurisdiction there.

12. Termination

12.1 Your Right to Terminate

You can terminate your account at any time:

• Go to Account Settings → Delete Account
• Or email hello@geml.co with "Delete Account" in the subject line
• Your profile will be immediately removed from matching
• Data deletion follows our Privacy Policy retention periods

12.2 Our Right to Terminate

We may suspend or terminate your account at any time if:

• You violate these Terms or our policies
• You engage in prohibited conduct (see Section 5)
• Your account is inactive for 24+ months
• We're required to by law
• We discontinue the Service

We'll notify you of termination when possible, but reserve the right to terminate immediately for serious violations.

12.3 Effect of Termination

Upon termination:

• You lose access to your account and all content
• Subscription benefits end immediately (no refund for the current period)
• We may retain certain data as described in our Privacy Policy
• Provisions that should survive (liability limitations, dispute resolution) remain in effect

12.4 No Liability for Termination

Geml is not liable to you or any third party for termination of your account or access to the Service.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Service, or legal requirements.

13.1 Notification of Changes

When we update these Terms, we will:

• Update the "Last Updated" date at the top
• Send you an email notification for material changes
• Display a prominent notice in the app for significant changes
• For major changes, may require you to accept new Terms before continuing to use the Service

13.2 Your Acceptance

By continuing to use Geml after changes take effect, you accept the updated Terms. If you don't agree with changes, you should:

• Stop using the Service
• Delete your account
• Cancel any active subscription

13.3 Material Changes

For material changes (e.g., changes to pricing, arbitration terms, liability limitations), we'll provide at least 30 days' notice before they take effect.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Geml regarding the Service and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor.

14.5 Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.

14.6 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Geml.

14.7 Third-Party Rights

These Terms do not confer any third-party beneficiary rights.
